Corporate Attorney Needed: New Corp Formation, Capital Contribution & Dissolution
Project Scope:
• Advise on and assist with the formation of a new corporation (we are open to your recommendation on the best state of incorporation).
• Structure and document the transfer of existing bank-account funds from our current corporation to the new corporation
• Once the funds and any other assets are properly transferred, handle the legal steps to dissolve the existing corporation.
What We Need:
• Full legal guidance on the proper structure to ensure the transfer is documented correctly and complies with corporate, tax, and banking requirements.
• Drafting of all necessary documents (resolutions, contribution agreements, election statements if needed, dissolution paperwork, etc.).
• Clear, step-by-step instructions on the sequence of actions, including any required state filings and bank notifications.
• Advice on potential tax implications so everything is done “by the book.”
Requirements for Applicants:
• Licensed U.S. attorney in good standing with demonstrable experience in corporate formations, dissolutions, and inter-company or shareholder capital contributions.
• Familiarity with Arizona entities is a plus (we are based in Arizona), but not required if you have strong multi-state experience.
