[Remote] Senior Director / VP Legal & Business Affair Counsel

GoDigital Music is a multinational conglomerate focused on music, entertainment, and sports, seeking a Vice President of Business & Legal Affairs to serve as the primary in-house legal resource. The role involves advising executive leadership, leading complex transactions, and establishing legal frameworks to maximize the company's intellectual property assets.ResponsibilitiesServe as the primary in-house legal voice for GoDigital Music across all four business divisions: recording, publishing, distribution, and catalogDraft and negotiate complex agreements involving revenue-sharing arrangements, minimum guarantees, advances, recoupment mechanics, and royalty structures within music distribution and rights-based transactionsLead due diligence efforts related to music catalog acquisitions and rights-based transactions, including analysis of revenue streams, contractual obligations, and asset performanceWork closely with finance and executive leadership to assess deal structures, evaluate risk, and ensure alignment between legal frameworks and business objectivesDevelop and implement strategies that protect and maximize the commercial value of GoDigital Music's intellectual property assetsEstablish scalable legal frameworks that support transaction execution and financial risk mitigation across all business operationsAdvise on compliance with applicable data protection and privacy regulationsCollaborate with external legal counsel on litigation strategy, document review, and dispute resolutionMaintain awareness of evolving practices in music rights, digital distribution, and deal structuringSkillsJuris Doctor (JD) degree from an accredited US law schoolActive Bar admission in the relevant jurisdictionMinimum 10 years of experience in the music industry with direct involvement in music distribution, recording agreements, publishing deals, and catalog acquisitionsDemonstrated experience leading complex transactions involving music rights, catalog acquisitions, or structured commercial deals, from deal structuring through closingDeep understanding of deal economics including advance structures, recoupment mechanics, minimum guarantees, revenue-sharing arrangements, and financial covenants relevant to music distribution and catalog transactionsAbility to work alongside finance leadership on deal profitability assessment and risk managementExperience operating as a primary in-house legal resource or General Counsel with limited support staff, exercising independent judgment across a broad range of legal mattersExcellent drafting, negotiation, and communication skillsStrong analytical and problem-solving abilities with attention to detailBenefitsUnlimited paid time offAbility to work 100% remotelyHealth insuranceDental insuranceTax deferred retirement plansAccess to experts in preventative careAccess to GDMG University which is our internal training program that is hosted by entertainment, music, and other industry leadersCompany events/excursionsCompany OverviewWe don't sign artists.
