Corporate Paralegal

About the company: A small company is growing corporate transactional practice and is seeking an experienced paralegal who can work independently.
Hours: Full-time preferredPST Timezone: Please note we are seeking candidates comfortable with overlapping core hours between 8:00 a.m.– 6:00 p.m. PST (Pacific), with flexibility for after-hours or weekend spikes.Type: Remote role
Responsibilities:
Primary duties (billable): populate forms, document assembly, due diligence checklists, closing binders, and related transactional support. Bill on Clio Manage.
Document management: create and manage secure client datarooms, oversee document exchanges, and handle signatures (Clio Drive for storage, SignWell for e-signatures).
Filings and compliance support: coordinate filings with Cogency Global or directly with DE SOS/CA SOS; prepare Form D and other securities filings as needed.
Client interaction: scheduling, handling inquiries, assisting with client relationships.
Non-billable setup: migrate existing client documents to Clio Drive/SharePoint, create templates, draft engagement letters.
Requirements
3+ years of paralegal experience in corporate transactional work; closings and diligences preferred.
Proficiency with Clio Manage, Clio Drive, SignWell, RingCentral (phone and fax), Cogency Global, Form D filings, EIN filings and MS 365.
Strong written and spoken English; excellent communication.
Ability to work with minimal supervision and maintain high accuracy and attention to detail.
