Corporate M&A Contract Attorney: Remote or Onsite in New York

Our client, a sophisticated business law and litigation boutique serving real estate developers, seeks a seasoned Corporate Law Associate (5+ yrs) with substantial mergers and acquisitions experience to assist the firm, on a contract basis, with an acquisition (not involving real estate) requiring completion by the end of January. The attorney hired will work on a team including two or three of the firm’s litigation partners. The attorney must be licensed in New York. The work will be onsite. The ideal candidate will have acquired mergers and acquisition experience in a New York law firm and will be skilled at conducting due diligence; assessing deal structure; drafting and evaluating appropriate representations and warranties; drafting and evaluating any appropriate non-compete or non-solicitation agreements; assessing and successfully addressing any target indemnity issues; assessing and successfully addressing any joint and several liability issues; handling closing conditions; and managing all other aspects of merger and acquisition transactions.
