Capital Markets & Securities Attorney

Job Title: Capital Markets & Securities Attorney Overview: An entrepreneurial , growing boutique corporate and securities law firm is seeking an experienced Capital Markets & Securities Attorney to join its fast-paced, entrepreneurial team. The firm focuses on representing small and mid-cap clients in a range of sophisticated transactions including public offerings, PIPEs, uplistings to national exchanges, and mergers & acquisitions. Key Responsibilities: • Advise clients on public and private offerings of equity, debt, and convertible securities. • Prepare and review SEC filings including registration statements, prospectuses, and periodic reports. • Ensure compliance with the Securities Act of 1933 and the Exchange Act of 1934. • Support clients in navigating uplisting processes from OTC to NASDAQ/NYSE. • Counsel clients on corporate governance, fiduciary duties, and compliance matters. • Coordinate with investment banks, funds, and placement agents in capital markets transactions. • Experience running deals Qualifications: • Juris Doctor (JD) from an accredited law school. • Minimum 8 years of experience handling capital markets and securities law matters. • Strong familiarity with SEC reporting obligations. • Excellent legal drafting, analytical, and negotiation skills. • Ability to handle multiple projects under tight deadlines. Preferred Experience: • Experience advising small- and mid-cap public companies. • Experience with exchange listing requirements and uplisting strategy.
