Associate Counsel

The Associate Counsel role involves taking ownership of various legal responsibilities, including contract negotiation and compliance, while providing legal guidance across the business. Responsibilities Draft, review, and negotiate a variety of commercial agreements, including License Agreements, Cloud-Hosting/SaaS agreements, professional services agreements, strategic partnership agreements, NDAs, &c Support government contracting processes, including RFP responses, contract review, and negotiation with public sector customers Assist with product-related legal issues, including accessibility, data privacy, and security considerations related to cloud-based software Provide practical, business-oriented legal guidance to internal stakeholders Help identify legal risks and propose solutions that align with business objectives Assist with corporate governance, compliance initiatives, and other general legal matters as needed Skills 1–4 years of legal experience, or an exceptional recent graduate with relevant experience Strong drafting and contract review skills Ability to manage multiple matters and work independently in a fast-paced environment Strong communication skills and sound judgment Interest in technology, software products, and/or government contracting Experience working within Agile teams or formal training in Scrum or Agile methodologies is a strong asset SaaS and software-related contracting, ideally in the context of government procurement Data privacy, cybersecurity, and cloud compliance Intellectual property or product counseling Benefits Quality medical, dental and vision coverage.
