Volunteer Board Secretary Assistant – Bedrock Health Group Classification: Volunteer / Unpaid Role (Governance Support) Compensation This is an unpaid volunteer role. In accordance with IRS nonprofit governance rules: • No salary or wages are provided. • Reasonable expenses related to board support duties may be reimbursed. • No stipends, bonuses, or benefits will be issued. This is a governance support position, not an employment role. Time Commitment • 3 to 5 hours per week on average • Flexible schedule • Requires availability for quarterly board meetings and occasional special sessions Role Summary The Volunteer Board Secretary Assistant provides direct administrative and governance support to the Board Secretary and the Office of the Board of Trustees. This role ensures that Bedrock’s governing body remains organized, compliant, and aligned with nonprofit best practices. This position is internal to Bedrock’s governance structure and supports high-level board operations, not day-to-day staff activities. Key Responsibilities • Assist the Board Secretary with preparing agendas, packets, and notices for board and committee meetings • Help record, organize, and format meeting minutes in accordance with Bedrock’s bylaws • Maintain secure digital archives of board resolutions, policies, and official communications • Track trustee attendance, disclosures, and annual governance certifications • Support timely distribution of documents before and after meetings • Help ensure alignment with the Document Retention Policy and governance standards • Maintain confidentiality and uphold all fiduciary and ethical requirements of board administration Qualifications • Strong organizational and administrative skills • Comfortable handling confidential information • Able to write clearly and maintain structured documentation • Familiarity with nonprofit governance is helpful but not required • Professionalism and reliability are essential Why Join as a Volunteer Governance Officer • Gain direct experience in high-level nonprofit governance • Build your resume with board administration and compliance support experience • Work closely with executive leadership in a national healthcare nonprofit • Meaningful impact without heavy time demands • Exposure to governance, compliance, and organizational strategy at a professional standard Bedrock Health Group is a Louisiana-incorporated 501(c)(3) nonprofit organization dedicated to strengthening healthcare compliance for clinics, payers, and community-based providers.
