JOB DESCRIPTION
β’ We are seeking an experienced professional to join our Strategic Transactions & Negotiations Group as a contractor.
β’ This role involves drafting, reviewing, and negotiating complex agreements within the healthcare and med tech space, including Software-as-a-Service (SaaS) and Device-as-a-Service (DaaS) models.
β’ The ideal candidate will have a strong understanding of contract law, healthcare organizational structures, and the ability to manage interdependent business and legal issues.
β’ You will work closely with internal stakeholders and subject matter experts to support client commercial objectives while ensuring compliance with policies and regulatory requirements.
Key Responsibilities
β’ Draft, review, and negotiate contracts with state, federal, and private customers, ensuring compliance with company policies and approved modifications.
β’ Develop and maintain a working knowledge of client products, customers, and policies to guide negotiations for agreements such as Master Agreements, Purchase/Rental Agreements, SaaS and DaaS agreements, Software Licensing, Support Services, HIPAA/BAA, Data Security, and related amendments.
β’ Identify and analyze technical, operational, legal, and financial issues; communicate findings clearly to enable informed decisions.
β’ Summarize transaction-specific concerns for escalation to senior stakeholders and legal counsel.
β’ Collaborate with cross-functional teams (Regulatory, Risk Management, Accounting, Marketing, etc.) to support template development and continuous improvement initiatives.
β’ Maintain high standards of accuracy, timeliness, and professionalism in all deliverables.
Qualifications
β’ Licensed attorney with minimum 3 years of experience, or J.D. with minimum 4 yearsβ experience, in commercial contracting and negotiation within healthcare or med tech.
β’ Prior work with regulated medical devices or software agreements a plus.
β’ Strong knowledge of contract law, compliance frameworks (HIPAA, data protection), and healthcare information security.
β’ Experience negotiating SaaS and DaaS agreements and familiarity with subscription-based and service delivery models.
β’ Ability to analyze complex issues, exercise sound judgment, communicate effectively with diverse audiences, and quickly pivot and adjust negotiation strategies even in ambiguous circumstances.
β’ Excellent writing, negotiation, and interpersonal skills.
β’ Proficiency in Microsoft Office (Word, Excel) and familiarity with contract management tools.
Contract Details
β’ Duration: 12 months (with potential for extension)
β’ Work Arrangement: Remote with occasional travel (5-10% annually)
