Senior Counsel
We are looking for a seasoned Senior Counsel to join Hivemind Capital’s growing Legal Team. This is a high-impact role focused on leading legal matters related to fund structuring and formation across both traditional and digital asset strategies. You’ll play a critical part in launching innovative investment vehicles, supporting strategic business initiatives, and shaping the legal architecture of our asset management business.You should be confident in leading complex legal structures, drafting core fund documents, and managing relationships with internal and external stakeholders. Lead the legal aspects of launching a fund end-to-end
Architect the legal structuring and formation of open- and closed-ended funds across traditional and digital asset strategies (for example: PE/VC, hedge funds, tokenized funds, ETFs and NFT vehicles)
Draft and negotiate offering documents such as PPMs, LPAs, subscription agreements and ancillary documents
Coordinate with external legal counsel, tax advisors and external vendors including auditors, fund administrators and custodians
Advise on evolving regulatory issues, particularly around RIAs, digital assets, custody, and in-kind contributions
Oversee and manage the legal aspects of fund governance, including valuation policies, side letters, and investor queries
Partner with the Venture Team to review venture deal related documents, including SAFEs, preferred equity financings, and token-related agreements (e.g. token warrants)
Serve as a thought partner on new products and strategic initiatives; identify legal risks and proactively develop solutions.
Streamline legal workflows and build internal capabilities to scale with the firm's growth Our ideal candidate
8-10 years of experience as a funds lawyer, with some time spent in-house at a financial firm.
Qualified to practice law in New York
Strong attention to detail
Knowledgeable about digital assets is strongly preferred
Ability to confidently manage external counsel, push back where needed, and maintain high-quality legal standards internally
Familiarity with SEC regulations applicable to Registered Investment Advisors (RIAs) preferred
A qualified candidate can expect a base salary of $170,000–205,000. Offers are determined by a number of factors including (but not limited to) the applicant's experience, skills, certifications, as well as internal equity among our team. Additional Information
