Osler, Hoskin & Harcourt LLP is one of Canada’s leading business law firms, seeking a Resource Lawyer, EHG to enhance their service delivery model for early and growth stage venture clients. The role involves working alongside legal professionals on corporate transactions, assisting in the formation and organization of corporate entities, and leveraging legal technologies to improve efficiencies.ResponsibilitiesWork with leading legal professionals in our Emerging and High Growth Companies Group on corporate transactions (including financings) for early and growth stage venture clientsAssist in the formation, organization and reorganization of corporate entities and prepare related organizational documents based on venture-backed industry standardsSupport and facilitate transaction closings and prepare related documents using leading legal technologiesReview entity records and conduct due diligence reviews for onboarding or transactional matters and prepare due diligence reports and related documentsAssist with the administration of stock option plans and other general corporate mattersCreate and maintain capitalization tables, including through the use of cap table management software and legal entity management softwareMaintain SAFE, share, option, warrant and convertible debt registersProactively seek opportunities to leverage existing and future legal technologies on corporate transactions with early and growth stage venture clientsContribute to the continued design and improvement of our enhanced service delivery model for early and growth stage venture clientsAssist with gathering and analyzing data for our leading Deal Points Report: Venture Capital FinancingsInput deal data into internal deal tracking softwareSkillsCalled to the Ontario Bar (new calls are welcome to apply)Strong corporate law experience, specifically in M&A, Private Equity, and/or Capital MarketsIdeally have prior experience with due diligence, contract analysis, closings, and other routine elements of complex transactionsExhibit strong proficiency with technology and successfully adapting to changing prioritiesProactive and solutions-focused work ethicAbility to work evenings and weekends as requiredCompany OverviewOsler is a leading business law firm uniquely positioned to advise Canadian, U.S. It was founded in 1862, and is headquartered in Toronto, Ontario, CAN, with a workforce of 1001-5000 employees.
