[Remote] Sr. Corporate Counsel - Healthcare M&A

They are seeking a Sr. Corporate Counsel to provide legal support for mergers and acquisitions, contract negotiations, and compliance with healthcare regulations.ResponsibilitiesProvide legal support of healthcare M&A transactions, including coordination of legal strategy, risk management and due diligenceAdvise and assist in the negotiation and drafting of transaction agreements, including confidentiality agreements, letters of intent and definitive agreementsWork closely with internal stakeholders to review and provide legal support and recommendations on potential business ventures and partnershipsConduct legal research and analysis to support strategy development and ensure compliance with laws and regulationsProvide legal support of post-closing integration of acquisitions and joint venturesAssist with legal and regulatory filingsMonitor industry trends and changes in laws and regulations to proactively address potential legal issuesAssist in the development and implementation of strategies to mitigate legal risks for the CompanyAssist in the management of transaction processes, including process improvementsMaintain confidentiality and handle sensitive information with discretionCommunicate complex legal concepts in a clear and concise manner to non-legal team membersFoster and maintain relationships with external legal counsel and advisorsParticipate in special projects and initiatives to support the overall mission of the CompanyOther duties as assignedSkillsJ.D Degree from accredited Law SchoolAt least 3 years engaged in active legal practice with a law firm or in-house; 4+ years relevant experience preferredCorporate transaction and contracting experience requiredAbility to work independently as well as coordinate with a teamExcellent attention to detailAbility to maintain a high degree of discretion and confidentialityExcellent verbal and written communication skillsExcellent organization, time management, and problem-solving skillsMust comply with HIPAA rules and regulationsHealthcare transactional experience preferredBenefitsBonuses or benefits (medical, dental, vision, life, and pet insurance, 401K, paid time off, and other wellness programs)Annual bonus targeted at 20%Restricted stock unitsEmployees who regularly work from home offices are eligible for expense reimbursement to offset this cost.Company OverviewPrivia Health is a physician enablement company that provides technology and services to optimize the healthcare delivery experience.
