[Remote] Legal Counsel - USA

The Legal Counsel will lead SaaS sales contract negotiations, advise on U.S. corporate and labor law, and support compliance initiatives while collaborating with cross-functional teams.ResponsibilitiesDraft, redline, negotiate, and own SaaS enterprise sales contracts as the primary focus of this roleâincluding MSA, GTC/ToS, NDA, DPA, and other legal agreementsâenabling the AMER sales team to close deals efficiently and with legal confidenceAdvise on legal principles relating to data privacy, IP, information security, and corporate risk mitigationReview and negotiate partnership agreements with our partners in AMERAssist (globally) with review and negotiation of procurement and marketing contracts as neededBe part of HR related projects & provide support for certain U.S. employment and labor law topicsDraft, review, and maintain company-wide policies in accordance with applicable legal requirements and organisational governance standardsMonitor and assess developments in applicable laws and regulations, advising the business on emerging legal risks and required adaptations to agreements, policies, or operational practicesSupport in providing legal advice on new product initiatives & feature launchesProvide comprehensive legal training to different teams (e.g. prepare and structure the information for training)Own the end-to-end delivery of cross-functional legal projects across multiple business regions, ensuring coherent alignment with applicable regulatory frameworks, local counsel, and key business stakeholdersIdentify, scope, and lead improvement initiatives across legal functions where operational, compliance, or process gaps have been identified, driving projects from diagnosis through to implementationSupport the continuous improvement of legal processes, templates, and governance frameworks, ensuring consistency and best practice adoption across the organisationSupport the legal team to build and maintain documentation for the whole teamSupport the legal team across a range of administrative functions and project-based work, adapting to evolving priorities and business needsProvide accurate and concise legal research for topics requested from the teamBe an active part in our yearly legal review and legal improvement process - support in preparing the agenda & documentation as per the instructions of the legal team managerSkillsLaw Degree and Bar Admission to at least one jurisdiction in the U.S3+ years of experience with a primary focus on drafting, redlining, and negotiating sales contracts. SaaS or fast-paced tech experience providing in-house support to enterprise sales teams is strongly preferredPrior negotiation experience with complex corporate agreementsStrong understanding of commercial contracting with deep expertise in sales contracts and legal processesBroad and in-depth specialized knowledge of AMER legal framework plus some knowledge of EMEA and APAC topics would be preferredExcellent English language skillsExcellent drafting and negotiation skills, with high attention to detail and the ability to manage a high volume of contracts under tight deadlinesStrong interpersonal and communication skills, with the ability to build trusted relationships with internal stakeholders including sales, finance, HR, and product teamsInterested in learning fast and participating in a wide variety of legal projectsSkilled in providing concise legal advice to business teamsAbility to analyze the needs of different parties quickly and provide a creative solutionDemonstrated ability to work independently and take ownership of matters end-to-end, while operating effectively within a broader legal team structureUnderstands and perform in complex legal and business processesHigh motivation to build a project from scratch, rethink, and rework existing processesGood organizational skills & well structured to manage multiple priorities in a fast-paced environmentDemonstrates AI literacy, with the ability to leverage AI tools to enhance productivity, decision-making, and quality of work while applying sound judgment and critical thinkingActs like an owner in the workplace âproactive, resourceful, and solution-orientedOvercomes challenges through teamwork, optimism, and just enough humor to keep the legal team exciting (without compromising professionalism of course)SaaS or fast-paced tech experience providing in-house support to enterprise sales teams is strongly preferredBroad and in-depth specialized knowledge of AMER legal framework plus some knowledge of EMEA and APAC topics would be preferredBenefitsMonthly remote work stipend (home internet costs, electricity).
