O-I is a leading producer of glass packaging, and they are seeking a dynamic and experienced Legal Counsel – Securities, Corporate Governance & Capital Markets to join their global legal team. This mid-level attorney role involves providing strategic legal counsel on securities law, corporate governance, and capital markets transactions while ensuring compliance with relevant regulations.ResponsibilitiesAdvising on securities law and corporate governance issuesDrafting and reviewing SEC filings, including Forms 10-K, 10-Q, 8-K, Section 16 filings, registration statements, proxy statements, and other regulatory disclosuresProviding legal support for capital markets transactions and bank credit agreementsEnsuring public disclosures (e.g., press releases) meet SEC and other regulatory requirementsManaging the company’s insider trading policy and 10b5-1 trading plansOverseeing public company obligations such as annual shareholder meeting planning, director and officer questionnaires, related party transactions, and compliance calendarsSupporting board and committee matters, including preparing materials, drafting minutes, and updating charters and policiesAdvising on corporate governance best practices, shareholder engagement, and proxy advisor considerationsMaintaining and updating governance documents, policies, and internal guidelinesSupporting global entity management and corporate secretarial functionsCollaborating cross-functionally with finance, treasury, corporate accounting, investor relations, internal audit, and communicationsLeading or contributing to special projects and initiatives as assignedSkillsJuris Doctor (JD) from an ABA-accredited law schoolActive membership in good standing with at least one U.S. state bar3–8 years of relevant legal experience, with a strong focus on securities, corporate governance, and capital markets—gained at a top-tier law firm and/or in-house at a public companyDemonstrated experience preparing and reviewing SEC filings and public disclosuresFamiliarity with public company legal operations, including board support and shareholder meeting planningProficient in general corporate legal drafting (e.g., resolutions, consents, minutes, charters, bylaws)Strong understanding of evolving legal and regulatory developments, market trends, and governance practicesExceptional written and verbal communication skillsHighly organized, detail-oriented, and self-motivatedProven ability to work independently and collaboratively across teamsStrong interpersonal skills and business acumenAbility to manage multiple priorities in a fast-paced environmentTrusted to handle confidential and sensitive information with discretionExperience with electronic board portals (e.g., Diligent, Boardvantage), document management systems, and SEC reporting tools (e.g., EDGAR)BenefitsVacation time and paid holidaysMedical, dental, prescription and vision care coveragePre-tax accountsWell-being program which includes opportunity to earn employer contributionsLife and AD&D InsuranceDisability Insurance401(k) retirement saving plans with employer contributionsFinancial advisors to assist with retirement planning and financial wellnessEmployee Assistance ProgramCompany OverviewTransforming glassmaking with purpose, through the Power of Glass.
