[Remote] Legal Counsel (Real Estate Financing & Corporate Ventures)

The Legal Counsel for Real Estate Financing & Corporate Ventures will be responsible for supporting the company's capital-raising activities, joint ventures, and structured financing transactions related to data center infrastructure.ResponsibilitiesNegotiate and document real estate financing transactions including construction loans, permanent debt facilities, sale-leaseback structures, and credit facilities secured by real propertyAdvise on and structure joint ventures, co-investment arrangements, and partnership agreements with infrastructure investors and strategic partnersDraft and negotiate term sheets, loan agreements, intercreditor agreements, security documents, and related financing instrumentsSupport corporate venture activities including minority investments, strategic partnerships, and corporate development transactions with a real estate componentCoordinate with Finance, Treasury, and Accounting on legal aspects of capital structure decisions and debt covenant complianceWork with external lenders, investors, and their counsel to close transactions efficiently and on favorable termsManage external legal counsel for financing transactions, maintaining cost discipline and strategic alignmentMaintain and update form financing documents, term sheet templates, and investor agreement playbooksAdvise on securities law considerations in connection with investor outreach and deal structuringSupport the General Counsel on board-level and investor reporting related to financing and venture activitiesSkillsJ.D. from an accredited law school; admission to a U.S. state bar required6–10 years of experience in real estate finance, structured finance, or capital markets lawDeep knowledge of secured lending, debt structuring, and real estate finance documentationExperience with joint venture formation, investor structuring, and partnership agreementsComfortable advising on complex, multi-party transactions with tight timelinesStrong business orientation with the ability to engage strategically on deal structure and risk allocationExperience working with institutional lenders, private equity sponsors, or infrastructure investorsExperience at a major real estate or finance-focused law firm combined with in-house counsel experienceFamiliarity with data center, energy infrastructure, or technology real estate financeKnowledge of REIT structures, sale-leaseback transactions, or build-to-suit financingExperience supporting VC or growth equity financing transactions alongside real estate finance workBenefits100% company-paid insurance premiums for employee medical, dental and vision plans.401(k) plan that matches 100% up to 4%, with immediate vestingProfessional Development Reimbursement of $2,500 each year11 Holidays + Paid Time Off Accrual + Rollover PlanCommitment matters to Vultr!
