[Remote] Legal Counsel (Public Sector)

They are seeking a Legal Counsel focused on Public Sector & Government transactions, responsible for providing legal guidance and support for strategic deals with government customers.ResponsibilitiesProvide legal support for US public sector transactions, ensuring alignment with procurement laws and regulations, including FAR, DFARS, and GSA requirementsDraft and negotiate a broad range of product, licensing, subscription, confidentiality, data privacy, services, distributor, partner and reseller agreementsAdvise on US government contracting best practices and stay current on regulatory developments, including flow-down clauses, compliance obligations, and risk mitigation strategiesDrive continuous improvement of standard form agreements, policies, and legal processesAssist with due diligence and integration activities for acquisitionsSupport the organization through Sales cycles, including quarter-end and year-end prioritiesWork independently while managing priorities and collaborating effectively with cross-functional stakeholders at all levels, including senior managementSkillsLaw degree (LL.B. or equivalent)Active license to practice law in good standing in at least one US / Canadian jurisdiction3+ years of experience as a Legal Counsel or a similar in-house roleExperience in a software / tech company, representing the seller-side in drafting and negotiating agreementsExperience in providing legal advice for Product Management teams in various matters such as data privacy and product features (seller-side)Experience with seller-side US Federal contracting, including deep knowledge of procurement laws and regulations (FAR, DFARS, GSA), as well as flow-down requirements and compliance obligationsSolid understanding of the software sales cycle, including supporting commercial processes and deadlinesCustomer-focused mindset, with the ability to build strong relationships across cross-functional teams and global regions/time zonesAbility to balance multiple priorities in a fast-paced environment while remaining independent, flexible, and responsive to stakeholdersUS / Canadian Data Privacy certification (CIPP/US or CIPP/C)Familiarity with US Anti-trust lawAdvanced Law Degree (LL.M.)Company OverviewBMC Software is a business service management platform offering cloud and IT management solutions for businesses.
