[Remote] Legal Counsel
Note: The job is a remote job and is open to candidates in USA. Taylor Root is a start-up company preparing for significant expansion and a future uplisting. They are seeking an In-House Counsel with deep capital markets, public company, and SEC reporting experience, who will have direct access to the CEO and the opportunity to build the legal function from the ground up.ResponsibilitiesAdvise the CEO and leadership team on U.S. securities laws, disclosure obligations, and compliance requirementsLead preparation, drafting, and review of all major SEC filings, including: 10-K, 10-Q, 8-K, S-1, S-3, S-4, S-8, Proxy Statements (14A), Section 13 and 16 filingsManage responses to SEC comment letters and coordinate with external counsel as neededSupport future uplisting efforts and ensure compliance with NYSE/NASDAQ listing standardsPrepare and maintain board and committee resolutions, meeting minutes, governance policies, and D&O questionnairesAdvise on corporate governance best practices and evolving regulatory requirementsDraft and manage shareholder-facing materials and disclosuresSupport and execute a wide range of corporate transactions, including: Equity offerings, High-yield debt, Convertible notes, M&A-related filings, ATM programsDraft and review offering memoranda, prospectus supplements, registration statements, and legal opinionsPrepare and manage NYSE or NASDAQ listing applicationsEnsure ongoing compliance with exchange governance and reporting standardsProvide legal support across the business as the company grows, including acquisitions, corporate structuring, and future internal legal build-outServe as a strategic advisor to the CEO during a period of rapid expansionSkillsDeep capital markets, public company, and SEC reporting experienceNearly a decade of experience advising public companies on securities laws, governance, and complex transactional mattersExperience coming directly from a top-tier law firmAbility to advise the CEO and leadership team on U.S. securities laws, disclosure obligations, and compliance requirementsExperience leading preparation, drafting, and review of all major SEC filings, including 10-K, 10-Q, 8-K, S-1, S-3, S-4, S-8, Proxy Statements (14A), Section 13 and 16 filingsExperience managing responses to SEC comment letters and coordinating with external counsel as neededAbility to support future uplisting efforts and ensure compliance with NYSE/NASDAQ listing standardsExperience preparing and maintaining board and committee resolutions, meeting minutes, governance policies, and D&O questionnairesAbility to advise on corporate governance best practices and evolving regulatory requirementsExperience drafting and managing shareholder-facing materials and disclosuresExperience supporting and executing a wide range of corporate transactions, including equity offerings, high-yield debt, convertible notes, M&A-related filings, and ATM programsExperience drafting and reviewing offering memoranda, prospectus supplements, registration statements, and legal opinionsExperience preparing and managing NYSE or NASDAQ listing applicationsAbility to ensure ongoing compliance with exchange governance and reporting standardsAbility to provide legal support across the business as the company grows, including acquisitions, corporate structuring, and future internal legal build-outAbility to serve as a strategic advisor to the CEO during a period of rapid expansionBenefitsEquity is available now, but details are still being setNo benefits; everyone is a 1099 contractorThey plan to add benefits and W‑2 employment after uplistingCompany OverviewTaylor Root specializes in recruiting for legal associate jobs, compliance jobs, and risk jobs It was founded in 1989, and is headquartered in London, England, GBR, with a workforce of 201-500 employees.
