[Remote] Interim Project Finance Attorney

Note: The job is a remote job and is open to candidates in USA. Major, Lindsey & Africa is representing a well-respected renewable energy company seeking a skilled Project Finance Attorney for a 9+ month assignment. The role focuses on financing, structuring, and monetization of renewable energy projects, working closely with development and commercial teams.ResponsibilitiesLead and support legal aspects of project financing transactions, including:Tax equity financingConstruction and term debt financingDraft and negotiate financing documents (credit agreements, security packages, intercreditor agreements, guaranties)Advise on deal structure, risk allocation, and execution strategy to ensure bankability and closeDraft and negotiate APAs, MIPAs, and portfolio sale agreementsSupport project sales, syndications, and transfers, including diligence, data rooms, and closingAdvise on assignment/consent requirements, transfer restrictions, and risk allocation (reps, warranties, indemnities)Partner with development teams to align EPC, PPA, and supply agreements with financing and exit requirementsReview key project contracts (EPC, LTSA, PPA/offtake) for lender and buyer readinessAdvise development, finance, and commercial teams on legal impacts to timelines, monetization strategy, and risk/returnSkillsAt least 8+ years of relevant experienceSignificant experience in renewable energy project financeStrong track record negotiating financing transactions (tax equity and/or debt)Strong track record negotiating project sales / APAsDeep understanding of lender requirements, security structures, and deal executionProven ability to independently manage deals and close transactionsStrong commercial judgment; thrives in fast-paced environmentsJ.D. and active bar licenseBenefitsInformation regarding benefits can be found on MLA’s Website on the Consultant Resources Page: https://www.mlaglobal.com/en/consultant-resourcesCompany OverviewMajor, Lindsey & Africa is the world’s leading legal search and talent solutions firm.
