[Remote] Interim Project Development & Operations Attorney

Major, Lindsey & Africa’s client is a well-respected renewable energy company seeking a skilled Project Development & Operations Attorney for a 9+ month assignment. The role focuses on driving utility-scale renewable energy projects from development through contracting and financial readiness, with an emphasis on Power Purchase Agreements and project-level transactions.ResponsibilitiesLead drafting and negotiation of Power Purchase Agreements (PPAs) and other offtake arrangements for utility-scale renewable energy projectsAdvise on:Commercial terms and pricing structuresRisk allocation with utilities, corporates, and other counterpartiesRegulatory and market considerations impacting offtake arrangementsPartner with development and origination teams to advance projects and secure revenue streamsDraft, review, and negotiate project-level transaction agreements, including:Build Transfer Agreements (BTAs)Development transfer agreementsAsset or project sale documentation (e.g., MIPAs or related structures)Support project structuring and execution for:PartneringSyndicationEventual monetization or transfer of projectsAdvise on:Assignment and consent provisions across project documentsTransferability of rights under PPAs, EPCs, and interconnection agreementsRisk allocation, representations, and indemnities tied to project transactionsDraft and negotiate key project agreements, including:EPC agreementsBalance of Plant (BOP) contractsEquipment supply agreements and LTSAsSkillsAt least 8+ years of relevant experienceDemonstrated experience negotiating PPAs or other energy offtake agreements for utility-scale projectsExperience with project-level transactions, including BTAs, asset transfers, or project salesStrong background in renewable energy project development (solar, wind, storage, or broader power sector)Proven ability to independently drive deals and manage negotiations end-to-endExperience working in utility-scale project environments (IPP, developer, or energy-focused law firm)Ability to operate effectively in a fast-paced environment with minimal oversightStrong commercial judgment and problem-solving abilityJ.D. and active bar membershipCompany OverviewMajor, Lindsey & Africa is the world’s leading legal search and talent solutions firm.
