[Remote] Corporate Legal Counsel

The Corporate Legal Counsel serves as the organization’s on-site legal advisor, managing legal matters related to business transactions, regulatory compliance, and corporate governance while supporting the company's growth objectives within the US.ResponsibilitiesAct as a trusted legal advisor to senior leadership on strategic business initiatives, corporate transactions, and enterprise riskProvide legal counsel on a broad range of matters, including commercial contracts and negotiations, regulatory and compliance issues, corporate governance and board mattersDraft, review, and negotiate complex agreements and legal documentsInterpret laws, regulations, and policies to ensure organizational compliance and mitigate legal exposurePartner cross-functionally with Finance, HR, Operations, and other stakeholders to support business objectivesManage external counsel and legal vendors as neededContribute independently to moderately complex legal projects while collaborating on broader enterprise initiativesSkillsJuris Doctor (JD) from an accredited law school5-10 years of relevant corporate legal experience, preferably in-house supporting commercial contracts and negotiations, regulatory and compliance issues, and corporate governanceStrong knowledge of corporate law, contracts, regulatory compliance, and business transactionsDemonstrated ability to provide practical, business-oriented legal adviceExcellent negotiation, communication, and stakeholder management skillsCompany OverviewXceedance is an insurance company that provides lifecycle, operations, data, analytics, and claims TPA to reinsurance organizations.
