[Remote] Commercial Counsel, Healthcare

They are seeking a Commercial Counsel to manage and scale their contracting function, ensuring compliance with healthcare regulatory requirements while collaborating across multiple teams to support their growth.ResponsibilitiesOwn the full lifecycle of commercial contracts, including drafting, reviewing, negotiating, and closing agreements with health systems and other partnersManage all vendor contracts and third-party relationships, including negotiating and reviewing SaaS agreements, service contracts, licensing agreements, data processing agreements, and other procurement-related contractsCollaborate with finance, security, and compliance to evaluate and enable vendor relationships, ensuring third parties meet Cadence's operational, regulatory, and information security standardsDevelop and maintain contracting playbooks and templates that enable the sales and procurement teams to move quickly while protecting Cadence's interestsManage the existing contract portfolio, including amendments, renewals, and partner and vendor inquiries, ensuring obligations are tracked and metAdvise internal stakeholders on healthcare regulatory considerations in deal structures, including the Anti-Kickback Statute, Stark Law, Civil Monetary Penalties, and state licensure requirementsCollaborate with sales, partnerships, finance, and clinical operations to structure deals that align with Cadence's service lines and Medicare reimbursement frameworksSkillsA commercial attorney with healthcare experience who thrives in high-velocity, mission-driven environments and is comfortable owning the contracting function with minimal oversight5+ years of experience handling commercial contracts in-house and/or at a law firm, with a strong preference for experience in healthcare or life sciences. Experience on both the sell-side (customer/partner agreements) and buy-side (vendor/procurement contracts) is preferredWorking knowledge of federal and state healthcare regulations, including the Anti-Kickback Statute, Stark Law, Civil Monetary Penalties Law, and clinical licensure and scope-of-practice requirements. Experience with HIPAA and privacy law is a plus.
