Paralegal - Investment Funds
DLA Piper is a collaborative and supportive law firm seeking a Paralegal - Investment Funds to assist attorneys with substantive case-related duties. The role involves preparing legal documents, coordinating with various parties, and managing data rooms and matter files.ResponsibilitiesResearches, prepares and files legal UCC Financing StatementsOrganizes, prepares and files a variety of corporate legal documents for transactions ( Articles of Incorporation/Organization, Amendments, state qualifications, consents, merger documents, closing books, electronic closing sets, initial drafts or certificates, short-firm closing deliverables, and filing annual reports, and assists with formation of entitiesManages data rooms and matter filesCoordinates execution and delivery of documentation to other parties’ counsel, lenders, governmental agencies, etc. including all closing documentationDevelops, monitors and updates closing and other checklistsAttends closing with attorneys to manage documents and obtain all necessary signaturesPrepares closing booksPrepares documents for transactions such as closing statementsPrepares and files annual reports in states where corporations are incorporated and/or qualified to do businessAssists with due diligencePrepares closing volumes, including index, document assembly, binding and final distributionPerforms Blue Sky research and filingsPrepares and maintains capitalizations tables as well as stock and options ledgersMaintains minute books (hard copy and electronic)Manages data rooms and matter filesMaintains minute books (hard copy and electronic)Assembles, reviews and analyzes documentsCommunicates/Liaises with judges’ chambers, court personnel, outside counsel, clients and other parties via telephone, mail and emailOrganizes service and delivery of signature copies to chambersMaintains department calendarExperience with secondaries reviewsSkillsHigh School or GED1 year of paralegal experience for individuals with a bachelor's degree and/or paralegal certificateIndividuals without a degree or certification require five years' legal support experience in the specific practice areaStrong skills in Word, Excel and OutlookExperience with legal software such as Relativity, LexisNexis, Westlaw or similar applicationExcellent verbal, written and interpersonal skills required to interact with staff, paralegals, attorneys and clients on a daily basisStrong organizational skills and attention to detail required to handle large volumes of work associates with each matterAbility to work effectively in a fast-paced environmentBachelors Degree and/or a Paralegal certificateParalegal Certificate preferredFor California Paralegals: Must meet the California Paralegal Requirement or any other states requiring a paralegal certificationBenefitsMedical/dental/vision insurance401(k)Company OverviewDLA Piper is a global law firm with lawyers located in more than 40 countries to helps clients with their legal needs around the world.
