The Paralegal role involves conducting contract reviews, providing legal and advisory support, and ensuring compliance with legal and regulatory requirements across the FM group of companies.ResponsibilitiesConduct contract review for a broad range of contracts, including but not limited to MSAs, SOWs, NDAs, EULAs, SAAS, ensuring that contracts are in compliance with legal and regulatory requirements and organization policies, and conduct legal researchRequires good judgment as to when to raise questions of risk and compliance to Corporate Affairs CounselRequires knowledge and understanding of the business and processes as well as the ability to interact and maintain relationships with both internal and external stakeholdersAct as an additional point of contact between business partners (finance, client services, marketing, HR, etc.) and the Corporate Affairs team or others in management in order to support ongoing matters and maintain working relationships with internal business partnersSupport compliance initiatives through legal research, documentation, and planning to meet and achieve compliance objectives, including ensuring that the FM group of companies remain compliant with all applicable regulations and maintain appropriate and effective systems of control and governanceAssist with Corporate Affairs projects and objectivesLiaise with outside counsel as neededAt the direction of a Corporate Affairs Counsel, draft recommended corporate resolutions and related paperwork, for annual meetings, or as needed for banking, regulatory or transactional requirementsPrepare and file corporate documentationObtain appropriate notarizations, consulate sealsAs needed, maintain and track corporate filingsPerform role-associated general clerical duties as requiredSkillsParalegal certificate required1-5 years' experience in a paralegal or contracts review position, preferably in the insurance or financial services sectorBackground in contract review, general paralegal support, legal research, corporate formation, registrations, governance, compliance and secretarial mattersExcellent verbal and written communication skills with experience working with sensitive and confidential informationThe ability to perform electronic legal research (familiarity Westlaw or Lexis)Advanced computer (Word, Excel, PowerPoint and Outlook) and organizational skills requiredAbility to work cohesively in a team environment as well as the ability to work independently with guidance and supervision by a Corporate Affairs attorneyAbility to prioritize, multi-task and manage several projects at once with oversight by a Corporate Affairs attorneyDetail orientedKnowledge of legal terminology and principlesBenefitsIncentive planGenerous health and well-being programs401(k) and pension planCareer development opportunitiesTuition reimbursementFlexible workTime off allowancesAnd much moreCompany OverviewFor nearly 200 years, FM has empowered businesses worldwide to manage risk, prevent loss, and build resilience.
