Our team members at all levels have the freedom to explore ideas and impact the roadmap and vision of our company.What we're looking for:A Mid-Level Corporate Paralegal to support legal, compliance, and operational workflows. In this position, you’ll not only handle traditional corporate paralegal responsibilities, you’ll also play a critical role in supporting our partnerships and strategic initiatives and helping keep us compliant and nimble in the fast-paced cryptocurrency regulatory environment. Success in this role requires self-reliance, resourcefulness, and organization. You’ll love this position if you thrive in ambiguity, enjoy taking initiative, and are eager to wear many hats. As a member of our legal team, you’ll be entrusted with sensitive information, complex projects, and direct interactions with key internal and external stakeholders.What you’ll work on:Legal SupportPrepare, review, edit, proofread, and manage legal documents, including NDAs, vendor agreements, and partnership agreementsOrganize and maintain our corporate records, ensure compliance with regulatory and corporate governance requirements, and assist in managing corporate and financial licensing/regulatory filings across multiple domestic and international jurisdictionsAssist with gathering and organizing documents for transaction and partnership diligenceSet up, organize, and maintain secure data rooms for various diligence projectsAssist with updates and coordination of employee-facing legal materials (e.g., employee handbook)Prepare signature packets, create and manage timelines and project checklists, coordinate legalization processes for regulatory filingsLegal Operations & Process ImprovementIssue-spot bottlenecks in our legal workflows, recommend solutions, and implement scalable processes, including for CLM, corporate records, and matter trackingSupport contract lifecycle oversight by tracking renewals, expirations, obligations, and milestones and managing reporting through our contract lifecycle management (CLM) softwareBuild and maintain internal legal knowledge repositories (e.g., contract playbooks, clause libraries, FAQs)Triage and manage legal requests from internal teams via intake forms, Slack bots, or ticketing systemsManage vendor performance for the legal teamRisk ManagementGather documentation and prepare response materials for audits and regulatory filingsManage domestic and international lending and money transmitter licensing registration and renewal workflowsSupport our compliance team as needed with rollout of compliance policiesWhat you bring to Rain:At least 4 years of experience as a corporate or commercial paralegal in an AmLaw 200 law firm or mature in-house legal departmentDemonstrated ability to take full ownership of complex projects, including making independent decisions and managing ambiguityExceptional organization, a detail-oriented approach, and strong judgment and prioritization skillsProven comfort with confidentiality and discretionAbility to communicate effectively with internal and external stakeholders, including senior executives and legal professionalsCreative problem solving skills and a solutions-first mindsetComfort in navigating a rapidly changing environment with multiple moving parts and prioritiesProficiency with tools like GSuite or Office365, Adobe Acrobat Pro, DocuSign, data rooms, and contract management software (e.g., SpotDraft or Ironclad)Based in NYC or willingness to travel to our NYC headquarters up to 25% of the timeDesirable but not mandatory:Experience in fintech, blockchain, startup, or financial services environmentsBackground in state licensing requirements, corporate formation, financial onboardingExposure to startup legal operations and cross-functional collaborationActive New York Notary Public commissionBenefitsOur perks enable working at Rain to be a fulfilling, healthy and happy experience.Unlimited time off Unlimited vacation can be daunting, so at Rain we require our teammates to take 10 days minimum for themselves.Flexible working ☕ We support a flexible workplace, if you feel comfortable at home please work from home.
