Legal Consultant/Company Secretary: Kenya Private Ltd/LLP Registration & Compliance
Job Overview We are looking for an experienced Legal Consultant, Advocate, or Certified Company Secretary to handle the end-to-end registration of a new business entity in Kenya. The goal is to establish either a Private Limited Company (Pvt Ltd) or a Limited Liability Partnership (LLP), ensuring all statutory requirements, tax registrations, and banking foundations are set up correctly from day one. Scope of Work The selected associate will be responsible for the following milestones: Entity Registration: Conduct name search and reservation via the eCitizen BRS portal. Draft and file incorporation documents (Memorandum & Articles of Association for Pvt Ltd OR Partnership Deed for LLP). Complete Forms CR1, CR2, and CR8 (or LLP equivalent). Tax & Statutory Compliance: Register the business with the Kenya Revenue Authority (KRA) to obtain the Company PIN. Assist with the initial tax obligation settings (Income Tax, VAT, PAYE as applicable). Legal Documentation: Draft a standard Shareholder Agreement or Partnership Agreement. Provide a Board Resolution specifically for opening a corporate bank account. Banking Support: Advise on the best local banks (e.g., Equity, Stanbic, KCB) and coordinate the documentation required for account opening.
