About the RoleAs General Counsel, you will be a key member of the executive team, responsible for shaping the legal, risk, and governance foundation of a growing SaaS company. Reporting to the Chief Financial Officer, the General Counsel will play a strategic role in guiding the company through complex legal matters related to growth, data privacy, equity management, and corporate governance. This is a high-impact opportunity to build and scale legal operations while partnering cross-functionally on everything from board strategy to revenue contracts. If you’re excited by the opportunity to influence company direction and help navigate pivotal decisions, we’d love to meet you.How You’ll Make an ImpactSupport cross-functional teams, including Sales, Finance, Security, Product and Human Resources, by providing rapid, business-savvy legal advice while effectively managing legal risk and ensuring compliance.Manage corporate governance practices including meeting preparation, corporate recordkeeping and approvals, governance documentation, Board and Committee calendar, and regulatory disclosures.Oversee Contract Administrator in the review, drafting, and negotiation of commercial contracts including software licensing agreements, reseller agreements, partner agreements, order forms, purchase orders, vendor contracts, master service agreements, and non-disclosure agreements.Ensure global compliance and mitigate risk by incorporating evolving regulatory requirements (e.g., GDPR, CCPA) and providing strategic risk assessments to leadership. Provide advice and support to the Security team on security laws and regulations, including cybersecurity, data privacy and data breach laws. Own data retention and usage policies.Partner with the People team on employment-related matters, including terminations, investigations, and compliance with local, state, and federal labor laws.Manage equity option pool in accordance with Board approved plans.Manage outside counsel relationships, directing budgeting and allocation of resources and strategic approaches to work.RequirementsJuris Doctor (JD) from an accredited U.S. law school and active admission to a U.S. state bar8+ years of experience, ideally a combination of law firm and in-house with a high-growth SaaS organizationProven negotiation and drafting skills, particularly in technology transactions, including SaaS, cloud, and professional services.Ability to collaborate with cross-functional teamsDeadline driven with the ability to prioritize projectsStrong problem solving skills, with the ability to think through strategic solutionsStrong executive presence and stakeholder management skillsBenefits$275,000 - $350,000 OTE, depending on experienceFully remote positionStock optionsFlexible PTO11 paid company holidaysPaid parental leaveHealth, Dental, and Vision insuranceEmployer paid Basic Life insurance and Short-Term Disability insuranceCompany contribution match for HSA and 401(k)Pet insuranceAt Limble we are solution-oriented and customer-obsessed.
