I am currently working with a fast growing firm based out of New York who are actively seeking multiple Corporate Attorney’s to join their team as they look to increase headcount. In terms of the opportunity, here are the headlines:

The Role
• Advise on Fund Formation & Venture Capital Transactions: Represent sponsors in the formation and structuring of venture capital funds, and advise emerging companies and investors on equity financings, including seed, Series A–C, and growth-stage investments.
• Draft, Review, and Negotiate Fund & Investment Documents: Including limited partnership agreements, subscription agreements, side letters, term sheets, stock purchase agreements, and investor rights agreements.
• Conduct Due Diligence and Support Investment Execution: Assist with structuring, negotiating, and closing fund formations and venture capital transactions, including review of corporate, financial, and capitalization materials.
• Ensure Regulatory and Compliance Alignment: Advise clients on compliance with applicable securities laws, including the Investment Company Act, Investment Advisers Act, and other regulatory frameworks impacting funds and emerging companies.
The Requirements ✅
• 3+ Years Experience
• Corporate Law Experience
The Package
• Up to $275K Base + Sign on Bonus
• Monthly Performance Related Bonus + End of Year Bonus
• 5-10% of all Matters you work on
