Freelance, On Call Startup Of Counsel

The firm operates with a modern, high-touch approach to legal services, combining technical precision with business-minded counsel. We are seeking a competent freelance attorney, with experience at all levels of startup law, to support a growing pipeline of founder and startup clients.
Role Description
This Freelance, On Call Startup Of Counsel role is a contract position based in New York, NY, with remote flexibility. This role is not defined by a minimum or maximum hourly requirement but rather counsel will be approached on an "as-needed" basis for support on startup law legal matters.
You will provide counsel on various legal matters, including startup formation, funding, corporate governance, contract drafting and negotiation, privacy and regulatory compliance, and other business law-related issues.
You will be expected to collaborate closely with clients to address evolving needs while ensuring their legal objectives are met with professionalism and discretion. Ideal candidate must take ownership of their work product and competently handle matters. Meeting deadlines is a must.
Qualifications
The attorney will assist the firm with matters commonly arising in startup representation, including:
• Entity formation and governance (LLC, C-Corp, etc.)
• Founder agreements and equity structuring
• SAFEs and fundraising
• Cap Table structuring
• Proficiency in negotiating and drafting agreements, including MSAs/ SOWs, SaaS Agreements, Licensing Agreements, NDAs, etc.
• In-depth knowledge of regulatory compliance, especially as it relates to startups and growing businesses.
• Exceptional written and verbal communication skills with strong attention to detail and precision.
• Ability to provide strategic, client-focused counsel while maintaining professionalism and discretion.
• Experience working with startups or entrepreneurial clients is highly desirable.
• Flexibility to work on-call based on client and firm needs while maintaining a high level of responsiveness.
• Licensed attorney in New York (Strongly Preferred)
Requirements
• Juris Doctor from an ABA-accredited law school
• Licensed and in good standing in at least one US jurisdiction (Do not apply if you are not a US licensed lawyer) New York strongly preferred
• 3+ years of relevant experience with startup law, including, at a minimum, experience with each of the bullets in the Qualifications section above
• Demonstrated experience with venture-back or early-stage companies
• Ability to manage matters independently, competently, and with minimal oversight
