Fractional Corporate Attorney – M&A, Business Acquisitions, Real Estate, and Compliance

Remote Full-time
About UB9

UB9 (https://UB9.org) is a micro-investment and community-empowerment company focused on helping underserved communities gain ownership, pride, and economic opportunity. We acquire established profitable businesses across multiple sectors (communications, energy, consumer goods, tech, agriculture, manufacturing, logistics, and more). We also invest in real estate, financial-services innovation, and community training ecosystems.

We are assembling a fractional legal team to support early-stage growth and acquisition activity.

UB9 is currently in its foundational build phase. Capital deployment will begin once the platform reaches 1,000,000 members.

Estimated role activation: approximately 6–8 months.

Selected professionals will be identified and aligned in advance and formally activated when capital deployment begins. This allows UB9 to build a disciplined, institutional operating structure prior to execution.

If you are seeking immediate full-time engagement, this opportunity may not be the right fit. This role is ideal for professionals open to fractional activation aligned with long-term vision and structured growth.

Role Overview

Seeking an experienced Corporate/M&A Attorney familiar with small-business acquisitions, real estate transactions, deal structuring, and regulatory compliance. You’ll work closely with the Founder and Growth Lead to support due diligence, contract structuring, and compliance across multiple sectors.

Responsibilities

Draft, review, and negotiate asset purchase agreements, LOIs, NDAs, operating agreements, and partnership contracts.

Lead legal due diligence on acquisition targets.

Provide guidance on entity structure, risk, and compliance.

Advise on SEC, financial-services, fundraising, and investment regulations (experience in securities is a plus but not required).

Oversee legal considerations for real estate purchases and development.

Provide per-project and ongoing advisory support.

Ideal Candidate

5–10+ years experience in corporate law, business acquisitions, or private equity transactions.

Familiar with small-business M&A, asset vs. equity deals, and regulatory considerations.

Able to explain complex legal issues in simple, clear terms.

Mission-driven and excited about community empowerment.

Licensed attorney (U.S. jurisdiction).

Ground Up Participation (Required)

As part of UB9’s transparency and trust-building strategy, selected operators will participate in Ground Up — a structured, behind-the-scenes documentation of how experienced professionals think, build systems, manage risk, and execute decisions.

This is not a television show.

It is a professional documentation series highlighting decision-making, process, discipline, and outcomes.

Participation requirements:

5–10 minutes of recorded insight every 10 days

Prompt-based reflections

Focused on your professional framework, systems, and execution philosophy

Simple remote recording (no production complexity)

Ground Up is designed to:

Build trust with future members

Highlight operator discipline and expertise

Showcase your professional approach

Provide long-term visibility and positioning

There is no guaranteed compensation tied to Ground Up participation.

This opportunity is best suited for professionals who are interested in building something from the ground up, contributing to a long-term structure, and creating legacy-level work.

Are you comfortable participating in a structured documentation series (5–10 minutes every 10 days) focused on your professional decision-making and systems approach?

Compensation

Project-based or part-time retainer.

Potential long-term advisory relationship as UB9 grows.

How to Apply

Please include:

Relevant deal experience.

Types of contracts and transactions you handle.

Your hourly or fixed-project rates.

Acceptance includes your name/company, role, and duties (picture/logo optional) added to UB9's website.
