Our Job Description: Associate Attorney – Corporate Transactions (Private Equity & Real Estate Focus) Location: FULLY REMOTE Position Type: Full-Time About the Firm: We are a boutique law firm in Boca Raton, FL with a sophisticated corporate practice focused on representing private equity and real estate investment funds. Our firm provides high-quality, business-oriented legal services to institutional investors, fund managers, and portfolio companies across a broad range of industries. Position Overview: We are seeking an Associate Attorney with experience in corporate transactional work to join our growing team, who would be working in a fully remote capacity. The ideal candidate will have a strong background in reviewing, drafting, and negotiating complex commercial agreements, particularly in the private equity and real estate investment sectors. This position offers direct client contact, significant responsibility, and the opportunity to work on a variety of sophisticated transactions. Key Responsibilities: • Draft, review, and negotiate a wide range of corporate and commercial agreements primarily consisting of complex private equity Non-Disclosure Agreements (NDAs), but also including: Vendor and Service Agreements, Master Services Agreements (MSAs), Consulting and Licensing Agreements, and other commercial contracts. • Collaborate with internal teams and clients to ensure contracts align with business and legal objectives. • Provide practical, solutions-oriented legal advice to clients in fast-paced, deal-driven environments. Qualifications: • Juris Doctor (J.D.) from an accredited law school. • Admission to practice law in at least one (1) US state • 2+ years of experience in corporate transactional work, preferably at a law firm or in-house legal department. • Strong drafting and negotiation skills with attention to detail and precision. • Experience working with private equity or real estate investment clients is a plus. • Excellent communication, organizational, and time-management skills. • Ability to manage multiple projects and meet deadlines in a dynamic and fast-paced environment.
